Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Kadres platform (app.kadres.ai) and related services (the “Service”), provided by Cievo Pte. Ltd. (“Cievo,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
1.1 Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Cievo Pte. Ltd. (UEN: 202539592W), a company incorporated in Singapore (“we,” “us,” “our,” or “Cievo”), governing your access to and use of the Kadres platform, including its web interface at app.kadres.ai, AI agents, APIs, and all related services (collectively, the “Service”).
By creating an account, submitting voice recordings, uploading images, providing a phone number, or otherwise using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.
1.2 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting an in-app or dashboard notification
- Sending a message to your registered phone number or email address
- Updating the “Last Updated” date above
Material changes take effect 30 days after notification. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
1.3 English Language Governs
These Terms may be provided in other languages for convenience. In the event of any conflict between the English version and a translated version, the English version prevails.
2. Description of Service
2.1 What Kadres Does
Kadres is an Agent as a Service (AaaS) platform that enables you to create AI-generated short-form videos for social media. The Service orchestrates a pipeline of third-party AI technologies to:
- Clone or synthesise your voice from recordings you provide
- Incorporate images you upload into AI-generated video content
- Produce videos automatically using generative video models
- Post or schedule content to social media platforms on your behalf (where authorised)
- Communicate with you through a deployed AI agent via messaging channels (Discord, Telegram) and, where you have provided your phone number, via SMS or call-based channels
2.2 Third-Party AI Technologies
The Service is powered by third-party AI providers across three functional categories:

These providers act as our sub-processors under Data Processing Agreements that limit them to processing your data solely to provide the Service. Your inputs (voice recordings, images, text prompts) are transmitted to them for processing, and each provider's use of your data is also governed by its own terms of service and privacy policy. By using Kadres, you acknowledge and consent to this processing.
2.3 Subscription Tiers
The Service offers subscription plans with varying capabilities. Pricing, features, and usage limits are displayed at kadres.ai/pricing and within your dashboard. We will provide 30 days' notice of material changes to subscription plans.
3. User Accounts & Registration
3.1 Eligibility
YOU MUST BE AT LEAST 18 YEARS OLD TO CREATE AN ACCOUNT AND USE THE SERVICE.
The Service is not directed at persons under 18. We do not knowingly collect personal information from minors. If you are under 18, do not use this Service. If we discover that a user is under 18, we will immediately terminate their account and delete associated data.
By registering, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into this agreement
- All information you provide is accurate, current, and complete
- You have not been previously suspended or removed from the Service
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, whether authorised or not
- Immediately notifying us of any unauthorised access at contact@cievo.sg
We are not liable for loss or damage arising from your failure to maintain account security.
3.3 Phone Number Registration
As part of account setup and agent deployment, we will collect your mobile phone number. By providing your phone number, you:
- Consent to receive transactional messages (deployment confirmations, error alerts, agent status updates) from Cievo or your deployed AI agent at that number
- Acknowledge that your number may be used to identify your account and authenticate agent communications
- Agree to keep your registered number current and notify us of changes
You may opt out of non-essential communications (marketing, tips) at any time. You cannot opt out of critical transactional messages while your account and agent remain active.
4. Voice Data & AI Voice Cloning
4.1 Voice Collection and Consent
This section is critical. Please read it carefully.
To enable AI voice synthesis features, the Service may request that you upload audio recordings of your own voice (“Voice Recordings”). By submitting Voice Recordings, you:
- Represent that the voice in the recording is your own voice, or that you have obtained explicit written consent from the individual whose voice is recorded, to submit it for AI cloning
- Grant Cievo and our designated AI voice synthesis provider the rights described in Section 4.2
- Acknowledge that AI voice synthesis will produce a synthetic voice model based on your recording (“Voice Model”)
- Acknowledge that synthetic voice output may not be identical to your natural voice and may contain artefacts or imperfections
You must not submit Voice Recordings of another person's voice without their explicit, documented consent.
Illinois Residents — BIPA Written Consent: If you are a resident of Illinois, USA, your voice recording constitutes a biometric identifier under the Illinois Biometric Information Privacy Act (740 ILCS 14). Before your Voice Recording is collected, you will be presented with a separate written disclosure and consent form specifying (a) the purpose of collection, (b) the retention period, and (c) the destruction schedule. Collection of your Voice Recording will not proceed without your affirmative written consent. Our publicly available retention and destruction schedule is set out in our Privacy Policy, Section 2.2.
4.2 License Grant for Voice Data
By submitting Voice Recordings, you grant Cievo and our designated AI voice providers a limited, non-exclusive, worldwide license to:
- Process your Voice Recordings to create and host a Voice Model associated with your account
- Use the Voice Model to generate synthetic speech output for videos you request
- Store Voice Recordings and Voice Models for the duration your account is active
- Transmit Voice Recordings to our AI voice provider for processing
Restrictions: We will not commercialise your Voice Model independently or sell standalone access to your voice to third parties without your explicit written consent. We will not use your Voice Model to generate content you have not authorised. Your Voice Model is scoped to your account and is not accessible to other users.
4.3 Voice Data Deletion
Upon account deletion, your Voice Recordings and Voice Model will be deleted from Cievo's systems within 30 days. We will also request deletion from our AI voice provider, though their data retention policies may apply independently.
5. Image Collection & Video Creation
5.1 Images You Upload
The Service may request that you upload photographs or other image files (“Images”) to incorporate into AI-generated video content. By uploading Images, you:
- Represent that you own the Images and any materials contained in them, or have all necessary rights, permissions, licences, releases, and consents to upload and use them for the purposes described in these Terms
- Represent that if the Images depict identifiable individuals, you have obtained their explicit written consent to have their likeness used in AI-generated video content
- Grant Cievo the license described in Section 5.2
5.2 License Grant for Images
By uploading Images, you grant Cievo a limited, non-exclusive, worldwide license to:
- Store, process, and transmit your Images to our designated third-party AI video generation provider for video generation
- Incorporate your Images into AI-generated videos as directed by you
- Display video outputs within your account dashboard
This license exists solely for the purpose of providing the Service. We do not use your Images for advertising, stock libraries, or any purpose beyond delivering your requested video outputs.
5.3 Prohibited Image Content
You may not upload Images that:
- Depict individuals who have not consented to their likeness being used for AI video generation
- Constitute child sexual abuse material or sexualise minors in any way
- Infringe third-party intellectual property rights, including copyright, trademarks, trade names, logos, brand assets, trade dress, or copyrighted photographs
- Use or depict any celebrity, public figure, influencer, private individual, personal portrait, fake or synthetic portrait, lookalike, avatar, or person-like image in a way that violates publicity rights, privacy rights, likeness rights, false endorsement laws, passing off laws, defamation laws, impersonation rules, platform policies, or any applicable law
- Depict violence, hate speech, or content that violates applicable law
Uploading prohibited Images is grounds for immediate account termination and may be reported to relevant authorities.
5.4 AI Disclosure Obligation
AI-generated videos produced by Kadres may be labelled with metadata indicating AI origin, consistent with industry standards and applicable law. You are responsible for complying with all disclosure requirements when publishing AI-generated videos on social media platforms or other channels, including but not limited to:
- Platform-level disclosure requirements (e.g., Meta, TikTok, YouTube AI-content labels)
- Applicable laws in your jurisdiction requiring disclosure of AI-generated content
EU AI Act (Regulation (EU) 2024/1689) — Article 50 Obligations: If you distribute AI-generated video or audio content to audiences in the EU/EEA, you are required under Article 50(4) of the EU AI Act to clearly disclose that the content is AI-generated or AI-manipulated synthetic media. This obligation applies unless the content is evidently artistic, creative, satirical, or fictional in nature and poses no reasonable risk of misleading audiences. Failure to comply with this obligation is your sole responsibility. Cievo applies machine-readable metadata to outputs where technically supported to assist with this disclosure, but you remain responsible for any additional disclosure required by applicable law.
6. AI-Generated Video Content
6.1 Ownership of Output
As between you and Cievo, you retain all rights to the videos generated by the Service using your inputs (“Video Output”), subject to:
- Cievo's license rights under Sections 4.2, 5.2, and 6.2
- Third-party AI providers' terms of service, which may impose additional conditions on use of outputs
- Applicable law and these Terms
You acknowledge that AI-generated outputs may not be unique — other users may receive similar or identical outputs from similar inputs.
6.2 License Back to Cievo
By using the Service, you grant Cievo a limited, non-exclusive license to:
- Host and deliver your Video Output within your dashboard
- Use anonymised, aggregated examples of AI video outputs (not linked to your identity) for marketing and service improvement
- Retain Video Outputs for the duration your account is active, or as required for dispute resolution
We will not publicly showcase, sell, or sublicense your identifiable Video Output without your explicit written consent.
6.3 AI Content Disclaimer
Cievo makes no warranty that AI-generated Video Output will be:
- Accurate, error-free, or appropriate for any specific use
- Free from artefacts, distortions, or unexpected elements
- Compliant with all platform-specific content guidelines without your review
You are responsible for reviewing all Video Output before publishing. Cievo is not liable for consequences arising from publishing AI-generated content without review.
6.4 Prohibited Video Content
You may not use the Service to create Video Output that:
- Constitutes a deepfake of a real person without their documented consent
- Contains disinformation, synthetic media used to deceive viewers about real-world events
- Is used for political campaigning, election interference, or influence operations
- Is sexually explicit, pornographic, or obscene
- Depicts or promotes violence, terrorism, or illegal activities
- Infringes any third party's intellectual property rights, including copyright, trademarks, trade names, logos, brand assets, or trade dress
- Uses any celebrity, public figure, influencer, private individual, personal portrait, fake or synthetic portrait, lookalike, avatar, voice, or likeness without all required rights, permissions, releases, and consents
- Creates a false impression that any person, brand, organisation, celebrity, public figure, or rights holder endorses, sponsors, approves, or is affiliated with you, Cievo, the Service, or the Video Output
- Constitutes harassment, defamation, or hate speech
- Violates any applicable law or regulation
Violation of this section may result in immediate account termination and referral to law enforcement authorities.
6.5 Use of Portraits, Celebrities, Public Figures, and Synthetic People
You are solely responsible for any portrait, face, likeness, avatar, character, or person-like image that you upload, generate, publish, distribute, or instruct the Service to use.
You must not use the Service to create, upload, generate, publish, or distribute content depicting or resembling any real person, celebrity, public figure, influencer, employee, customer, private individual, or other identifiable person unless you have obtained all required rights, permissions, releases, and consents.
This applies whether the portrait or likeness is photographic, illustrated, AI-generated, fictionalised, synthetic, modified, partially obscured, or only partially resembles a real person. It also applies to fake portraits, AI-generated people, lookalikes, avatars, and brand-associated characters where the content may create legal, reputational, platform, or consumer-confusion risk.
Cievo does not verify, clear, approve, or license any third-party portrait, likeness, celebrity image, brand asset, logo, trademark, copyrighted work, or personal identity used in your content. Any such use is entirely at your own risk. You remain solely responsible for reviewing, clearing, publishing, and defending your content, and you agree to indemnify and hold Cievo harmless from any related claims.
7. Social Media Posting
7.1 Authorisation to Post
Where you authorise the Service to post Video Output on your behalf to social media platforms (e.g., TikTok, Instagram, YouTube), you:
- Grant Cievo a limited, revocable authorisation to post, schedule, and manage content on the specified platform account(s) on your behalf
- Represent that you own or control the social media account(s) you connect to the Service
- Acknowledge that you remain solely responsible for all content posted to your accounts, including AI-generated content
7.2 Platform Compliance
You are responsible for ensuring that Video Output posted via the Service complies with the terms of service, community guidelines, and content policies of each social media platform. Cievo does not guarantee that any content is compliant with third-party platform rules.
7.3 Revocation of Posting Authorisation
You may revoke posting authorisation at any time through your account settings or by disconnecting the relevant social media account. Revocation does not delete content already posted.
7.4 No Guarantee of Performance
Cievo does not guarantee that posts will be published on schedule or that social media platforms will accept, display, or retain any content. We are not liable for delays, failures, or platform-imposed removals.
8. AI Agent Deployment & Communications
8.1 Your Deployed Agent
Upon subscription, Cievo provisions a dedicated AI agent (“your Agent”) within an isolated tenant environment. Your Agent operates the video creation pipeline and may communicate with you through:
- Your connected messaging channel (Discord, Telegram)
- SMS or messaging to your registered phone number (where enabled)
- Your dashboard at
app.kadres.ai
8.2 Agent Communication Consent
By registering a phone number and enabling agent communications:
- You consent to receive automated messages from your Agent at your registered number
- You understand that message frequency varies based on your usage and agent activity
- Standard message and data rates from your mobile carrier may apply
- You may disable agent SMS communications in your account settings at any time
8.3 Agent Limitations and No Liability
Your Agent is an automated AI system. It may make errors in script generation, video selection, or posting decisions; interpret your instructions in unexpected ways; or fail due to third-party service outages. Cievo is not liable for any action taken or omitted by your Agent. You retain full responsibility for content produced and published by your Agent. You should regularly review your Agent's activity log.
8.4 Agent Data Isolation
Your Agent and all associated data (voice models, images, video outputs, agent logs) are stored in an isolated tenant environment. Other Cievo users cannot access your Agent's data.
9. Subscription & Payment
9.1 Subscription Plans
Kadres offers monthly subscription plans. Details including pricing, usage limits, and features are displayed at kadres.ai/pricing and in your dashboard.
9.2 Payment Processing
Payments are processed through Stripe, Inc. We do not store or process your payment card details directly. All payment data is handled by Stripe in accordance with PCI-DSS standards.
9.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the renewal date through your account settings.
9.4 Refund Policy
All subscription fees are non-refundable except:
- As required by applicable law
- Where a technical failure on our part prevented you from accessing the Service for more than 5 consecutive business days
- Duplicate charges or billing errors
- Where Cievo terminates your account without cause before the end of a paid billing period, in which case we will refund a pro-rated amount for the unused portion of that period
Refund requests must be submitted to contact@cievo.sg within 14 days of the charge. We will respond within 10 business days.
9.5 Suspension for Non-Payment
If a subscription lapses or payment fails, your account will enter a grace period of 7 days, during which access continues. After the grace period, your account and Agent will be suspended. Your data is retained for 30 days after suspension before permanent deletion.
9.6 EU Consumer Right of Withdrawal
If you are a consumer resident in the European Union or European Economic Area, you have the right under the EU Consumer Rights Directive to withdraw from your subscription contract within 14 days of the date of purchase without giving any reason (the “Withdrawal Period”).
Waiver of withdrawal right for immediate service commencement: By subscribing and requesting that the Service commence immediately (i.e., your Agent is provisioned and the Service becomes available to you right away), you expressly acknowledge that you request the Service to begin immediately upon payment; you understand and accept that by doing so, you lose your right of withdrawal once the Service has been fully performed or once you begin using the Service within the Withdrawal Period; and if the Service has only been partially performed during the Withdrawal Period, you will be charged a pro-rated amount for the portion of the Service already delivered if you choose to withdraw.
To exercise your right of withdrawal before the Service commences, contact contact@cievo.sg with subject “EU Withdrawal Request” within the 14-day Withdrawal Period. Refunds will be processed within 14 days of receiving your withdrawal notice.
10. User Content & Conduct
10.1 Your Responsibilities
You are solely responsible for all content you provide to the Service, including Voice Recordings, Images, portraits, likenesses, brand assets, logos, trademarks, copyrighted materials, text prompts, and instructions to your Agent. Cievo does not review, approve, verify, or clear your content for legal, intellectual property, publicity, privacy, platform, or advertising compliance.
10.2 Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose or in violation of any law
- Attempt to reverse-engineer, decompile, or disassemble any component of the Service
- Use automated tools (bots, scrapers) to access the Service beyond normal usage
- Attempt to gain unauthorised access to other users' data or Cievo's systems
- Share your account credentials or allow others to access your tenant environment
- Create multiple accounts to circumvent usage limits or bans
- Upload or generate content that violates Section 5.3 or Section 6.4
- Use the Service, its outputs, or any knowledge gained from accessing the Service to develop, train, build, or operate a product or service that competes with or replicates the core functionality of Kadres
10.3 Content Monitoring
We are not obligated to monitor user content but reserve the right to do so. We may remove content that violates these Terms or applicable law, without prior notice. Persistent violations will result in account termination.
10.4 Confidentiality
In the course of using the Service, you may be exposed to non-public information about Cievo's technology, AI pipelines, business operations, pricing structures, or roadmap (“Confidential Information”). You agree to keep all Confidential Information strictly confidential; not disclose it to any third party without our prior written consent; use it solely for the purpose of using the Service as permitted under these Terms; and apply the same standard of care to protect our Confidential Information as you apply to your own, but no less than reasonable care.
This obligation does not apply to information that is or becomes publicly available through no fault of yours, or that you are required to disclose by law, regulation, or court order (in which case you must notify us promptly and cooperate to seek a protective order where possible).
11. Intellectual Property
11.1 Cievo's Proprietary Rights
The Service, including its software, AI pipelines, orchestration logic, interfaces, branding, and all non-user content, is owned by Cievo Pte. Ltd. or its licensors. All rights not expressly granted are reserved.
11.2 Limited License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes in accordance with your subscription tier.
11.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Cievo an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.
12. Third-Party Services
12.1 Acknowledgement
The Service relies on third-party AI and infrastructure providers, engaged as sub-processors under Data Processing Agreements. Your use of the Service constitutes acknowledgement that your inputs are transmitted to these providers for processing; each provider's terms and policies apply to their handling of your data; and we are not responsible for the acts, omissions, or service interruptions of third-party providers.
12.2 Data Processing Agreement (DPA) for Business Customers
If you are subscribing to the Service on behalf of a business entity and your use involves processing personal data of individuals in the EU/EEA or other jurisdictions requiring a data processing agreement, you may request a Data Processing Agreement (DPA) with Cievo. To request a DPA, email contact@cievo.sg with subject “DPA Request — [Your Company Name]”. We will provide a standard DPA within 10 business days. The DPA will govern Cievo's processing of personal data on your behalf and will incorporate Standard Contractual Clauses where required for international transfers.
12.3 EU AI Act Compliance
Cievo operates as a deployer of AI systems under the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), applicable from August 2026. By using the Service, you acknowledge that the Service uses AI systems classified as limited-risk under the EU AI Act, subject to transparency obligations; Cievo complies with its obligations under Article 50 of the EU AI Act regarding disclosure of AI-generated content; and you, as a user who deploys or distributes AI-generated content, may also have independent obligations under the EU AI Act depending on your use case and jurisdiction.
12.5 Social Media Platforms
The Service may interact with third-party social media platforms (TikTok, Instagram, YouTube, etc.). We do not control these platforms and are not responsible for their terms, content policies, or actions taken regarding content posted to them.
13. Disclaimers & Limitations of Liability
13.1 “As Is” Service
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CIEVO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.
13.2 AI Content Disclaimer
AI-generated content — including synthetic voices, AI-generated video, and agent communications — may contain errors, unexpected outputs, or content unsuitable for your purpose. CIEVO DOES NOT WARRANT THE SUITABILITY OF AI-GENERATED CONTENT FOR ANY SPECIFIC USE.
13.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIEVO PTE. LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE OR PROFIT, LOSS OF DATA OR CONTENT, REPUTATIONAL DAMAGE ARISING FROM PUBLISHED AI-GENERATED CONTENT, CONSEQUENCES OF PLATFORM POLICY VIOLATIONS, OR THIRD-PARTY CLAIMS ARISING FROM AI-GENERATED CONTENT YOU PUBLISHED, EVEN IF CIEVO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.4 Maximum Liability Cap
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (2) SGD 500.
13.5 Jurisdictional Variations
Some jurisdictions do not permit the exclusion of implied warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Cievo Pte. Ltd., its affiliates, officers, directors, employees, and agents from and against all claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Content you submitted (Voice Recordings, Images, text, Video Output you publish)
- Your violation of any third-party rights, including intellectual property, copyright, trademark, privacy, publicity, likeness, voice, moral, contractual, or platform rights
- Your use of the Service to create or publish prohibited content
- Any claim by a third party whose likeness, portrait, voice, identity, brand, logo, trademark, copyrighted work, or other protected material you used without sufficient rights, permissions, releases, licences, or consent
- Your use of any celebrity, public figure, influencer, private individual, personal portrait, fake portrait, synthetic person, lookalike, avatar, brand-associated character, third-party brand asset, or other third-party material without sufficient rights or consent
- Your violation of social media platform terms in connection with the Service
15. Termination
15.1 Termination by You
You may delete your account at any time through your account settings or by emailing contact@cievo.sg. Upon deletion: Agent activity stops immediately; your data (Voice Models, Images, Video Output) is deleted within 30 days; and active subscriptions must be cancelled separately through Stripe.
15.2 Termination by Us
We may suspend or terminate your account immediately, without notice, for violation of these Terms (including Sections 5.3 or 6.4), fraudulent or illegal activity, non-payment beyond the grace period, or risk to other users or the integrity of the Service. Where we terminate your account for reasons other than your breach of these Terms, you will receive a pro-rated refund for any unused portion of your current paid billing period. No refund is provided where termination is due to your violation of these Terms.
15.3 Effect of Termination
Upon termination, all licenses granted to you immediately end. Provisions that by nature survive termination (indemnification, disclaimers, limitations of liability, dispute resolution) remain in effect.
15.4 Deletion of Outputs Upon Termination for Breach
If your account is terminated by Cievo due to a violation of these Terms (including but not limited to Sections 5.3 or 6.4), you must immediately cease all use of Video Output, Voice Models, and any other content generated through the Service; permanently delete all copies in your possession or control, including copies published to third-party platforms where technically possible; and upon our request, provide written confirmation that all such content has been deleted. 16. Governing Law & Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.
16.2 Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.
16.3 Class Action Waiver
To the extent permitted by applicable law, you waive any right to bring claims as a class action, collective action, or representative action against Cievo.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cievo regarding the Service.
17.2 Severability
If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary or severed. The remaining provisions remain in full force.
17.3 Waiver
Our failure to enforce any provision shall not constitute a waiver of that right.
17.4 Assignment
You may not assign these Terms without our written consent. Cievo may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
17.5 Force Majeure
We are not liable for failure or delay due to events beyond our reasonable control, including acts of God, war, governmental restrictions, internet failures, or third-party AI provider outages.
17.6 Electronic Communications
By using the Service, you consent to receive electronic communications including emails, dashboard notifications, and messaging channel messages. Transactional communications cannot be opted out of while your account and Agent are active.
17.7 Export Controls & Sanctions Compliance
You represent and warrant that you are not located in, incorporated in, or a national or resident of any country subject to trade sanctions or embargo by Singapore, the United States, the European Union, or the United Nations. You further represent that you are not listed on any government-restricted or sanctioned parties list issued by these jurisdictions. You agree to comply with all applicable export control laws and regulations in your use of the Service. We reserve the right to suspend or terminate your access immediately if we determine, at our sole discretion, that continued provision of the Service to you would violate applicable export control or sanctions laws.
